Moody’s Compliance Screening Agent disclaimer
Definitions. Capitalized terms used but not defined herein shall have the meanings ascribed to them in the Moody's Core Terms.
Consumer Reporting Disclaimer. Moody's is not a consumer reporting agency. Moody's services and data do not constitute a ‘consumer report’ as defined by the Fair Credit Reporting Act (FCRA), 15 U.S.C. sec. 1681 et seq. Consistent with the terms and conditions of the subscriber’s agreement with Moody's, data provided by Moody’s Compliance Screening Agent is for alert purposes only and may not be used in whole or in part for the purpose of serving as a factor in establishing a consumer’s eligibility for credit, insurance, employment, government benefits, or housing; or for any other purpose authorized under the FCRA (or local equivalent), or for the purpose of taking an adverse action as defined by the FCRA. Customer and its Authorized Users further agree to maintain the confidentiality of such material and information, not to make use thereof other than for authorized purposes, to limit access to the material and information to only employees requiring such information, and not to release or disclose it to any other party.
Accuracy Disclaimer. Moody’s Compliance Screening Agent is intended to assist subscribers in assessing and managing risk with respect to legal and regulatory compliance obligations relating to money laundering, fraud, corruption, terrorism, organized crime, regulatory and suspicious activity reporting, sanctions, embargoes, and other regulatory risks and associated obligations. The information in Moody’s Compliance Screening Agent comes from publicly available media and government lists that meet Moody's data sourcing standards. Due to the nature of these sources, not all facts or events may be included or up to date and/or may contain errors. Moody’s Compliance Screening Agent returns optimized search results based on users’ inquiries. Due to the foregoing, the Product Output may or may not pertain to the individual or entity referenced in a user’s inquiry, and Customer and its Authorized Users acknowledge and agree that Moody’s Compliance Screening Agent does not make decisions on behalf of the Authorized User or any other person, and that the Authorized User decides whether the information contained in the Product Output matches a specific entity or individual. Moody’s Compliance Screening Agent does not make, and is not intended to make, decisions based solely on the wholly automated processing of personal data which may produce legal or similar significant effects on individuals without human intervention (“Wholly Automated Decisions”). Except as otherwise authorized by, and in compliance with, applicable law, Customer, or any of its Authorized Users, shall not (a) use Moody’s Compliance Screening Agent to make Wholly Automated Decisions, and/or (b) use Moody’s Compliance Screening Agent in connection with any tool, solution or product that makes Wholly Automated Decisions. The designations and/or classifications provided as part of the Product Output (the “Classifications”) were generated using a Moody's AI Tool and delivered via AI Delivery. The Classifications and therefore the Product Output are derived from a limited data set, and may contain errors, inconsistencies, or outdated or incomplete information. Authorized Users shall independently verify the Classifications and the Product Output.
AI Disclaimer. Moody’s Compliance Screening Agent utilizes experimental technology that uses Moody's AI Tools to deliver and/or generate Product Output incorporating certain data, functionalities and/or services contained in Moody’s Compliance Screening Agent, including, without limitation, the Classifications. Therefore, Moody’s Compliance Screening Agent, the Moody's AI Tools and the Product Output is derived from a limited data set and may contain errors, inconsistencies, or outdated or incomplete information. Customer shall independently verify the accuracy of the data, functionalities and/or services delivered via Moody’s Compliance Screening Agent and the Product Output.
No Representations or Warranties. Except as otherwise provided, none of Moody's and its Affiliates make any express or implied representation or warranty regarding the Moody’s Compliance Screening Agent, Classifications, the Moody's AI Tools, Product Output, or Customer Output, nor shall Moody's and its Affiliates have any liability to Customer or any of its Authorized Users arising out of or related to Customer’s or any of its Authorized Users’ use of the Classifications or the Product Output or the Customer Output. Customer acknowledges and agrees that any analysis, classifications, ratings, scores, opinions and/or recommendations included within the Classifications and/or Product Output shall be construed solely as statements of opinion and not statements of fact, legal, financial, tax or compliance advice or recommendations to enter or not enter into a designated transaction or business relationship, or take any course of action; and shall be weighed solely as one factor in any decision by Customer. Customer shall accordingly, with due care, make its own evaluation of the Classifications, the Product Output, and each transaction, business relationship, or course of action.
